3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Maintain the security of your account by protecting your password and restricting access to your account
• Promptly notify us if you discover or suspect any security breach related to your account
• Take responsibility for all activities that occur under your account

You may not use another user's account without permission. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.

4. SMS Messaging Terms

By providing your phone number and interacting with businesses using our platform, you consent to receive SMS messages related to your request, including appointment confirmations, reminders, and customer service communications.

Consent and Message Frequency

When you provide your phone number through our Service, you expressly consent to receive text messages from us and from businesses you interact with through our platform. Message frequency may vary depending on your interaction with the business and the services you have requested.

Message and Data Rates

Message and data rates may apply based on your mobile carrier plan. You are responsible for any charges incurred from your mobile carrier for SMS messages sent and received. Please check with your mobile carrier for details about your messaging plan.

Opt-Out and Help

You may opt out of receiving SMS messages at any time by replying STOP to any message received from us. Once you send STOP, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us unless you re-opt in.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Service

7. User Content

8. Payment and Billing

Certain features of the Service may require payment. You agree to pay all fees and charges associated with your use of such paid features. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time upon reasonable notice to you.

You agree to provide current, complete, and accurate billing information. You further agree to promptly update your account and payment information in the event of any changes to ensure we can complete your transactions and contact you as needed.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, TELEIQ INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TELEIQ INC. DOES NOT WARRANT THAT:

• The Service will meet your requirements or expectations
• The Service will be available on an uninterrupted, timely, secure, or error-free basis
• The results that may be obtained from the use of the Service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the Service will meet your expectations
• Any errors in the Service will be corrected

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM TELEIQ INC. OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TELEIQ INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF YOUR CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless TeleIQ Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
• Any claim that your User Content caused damage to a third party

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach these Terms.

If you wish to terminate your account, you may simply discontinue using the Service and contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in California, and the parties hereby consent to personal jurisdiction and venue therein.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in California, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired, and such provision shall be deemed modified to the minimum extent necessary to make such provision valid, legal, and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and TeleIQ Inc. concerning the Service and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Service.

17. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and TeleIQ Inc.'s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
